2006 Show Us Your Character Contest VOID WHERE PROHIBITED OR RESTRICTED BY LAW.NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. Contest is open only to U.S. residents physically residing in the United States and DC (residents of Guam and Puerto Rico are excluded from entry and participation), who are 18 years of age or older as of Monday, March 20, 2006. Contest begins at 12:01 a.m. CT on March 20, 2006 and ends at 11:59 p.m. CT on April 28, 2006 ("Contest Entry Period"). This Contest is sponsored by Universal Television Networks ("The Sponsor"). 1. ELIGIBILITY: Employees of NBC Universal, Inc. ("NBCU"), Universal Television Networks, National CineMedia, LLC ("NCM"), Fulfillment Systems, Inc., Alloy Marketing and Media, their respective advertising and promotion agencies, their parent, subsidiary and joint venture companies, or any other entity involved in the development or administration of this Contest, as well as members of their immediate families and households (including children, spouses and siblings and/or personal living in the same households as such persons, whether related or not), are not eligible to participate. Additionally, anyone who participates in the USA Network Show Us Your Character On-Air image commercial is not eligible to participate in the 2006 Show Us Your Character Contest. This includes those that appear in the final commercial and those who participate in the shoot, but do not appear in the final edited spot. This Contest is subject to all applicable federal, state and local laws. By participating, entrants agree to be bound by these Official Rules and the decisions of the Judges and/or Sponsors, which are binding and final on matters relating to this Contest. 2. HOW TO ENTER : Go to www.showusyourcharacter.com and click on the contest banner ad to register and complete the Official Entry Profile. In the space provided, enter your Personal Statement of 200 words or less answering the following Contest Question: What makes you America's most unique character? What is it about you that makes people sit up and take notice? What makes heads turn or jaws drop? What makes you stand out from the crowd? ("Personal Statement"). VIDEO INSTRUCTIONS: Create a video that you think shows why you should win the "2006 Show Us Your Character" Contest. The video should last one (1) to three (3) minutes (the "Video") and must be in one of the following formats: AIV, MPEG 1, MPEG 2, QuickTime or Analog (VHS). No other formats will be accepted. Video clips submitted in digital format must not exceed 10mb. Your Video should be exciting, compelling, engaging and show charisma and can include, but is not limited to, showcasing your unique characteristics via personality, talent, cleverness, wit, silliness, playfulness, personal style, distinctive ideas or interests. Your Video and Personal Statement ("Submission") must be original, truthful and unpublished. YOU MAY SUBMIT YOUR ENTRY ONE OF TWO (2) WAYS: ONLINE ENTRY: Complete the Official Entry Profile and Personal Statement, and upload your Video in AIV, MPEG 1, MPEG 2, or QuickTime format, according to the instructions on the site. For your video submission to be valid, you must acknowledge reading, accepting, and agreeing to the terms as set forth in these Official Rules. All online entries must be received by 11:59 p.m. CT on April 28, 2006. MAIL-IN ENTRY: To request an entry kit, send a self-addressed, stamped 10" x 13" envelope to: Show Us Your Character Contest, PO Box 3010, Dept K, St. Cloud, MN 56397-3010. You will be mailed a kit containing the Official Rules and Official Entry Profile and a copy of these Official Rules. Complete the Official Entry Profile; including your Personal Statement in the space provided, this will acknowledge your acceptance of the terms as set forth in the Official Rules. Create your Video according to the criteria set forth above and mail to: 2006 Show Us Your Character Contest, PO Box 3010, Dept E, St. Cloud, MN 56397-3010. Video must be submitted on VHS, S-VHS, CD or DVD. If submitting on VHS or S-VHS, include the following information on the spine of the tape: Your Full Name, Tape Format (VHS or S-VHS), Phone Number and E-mail Address (if available). If submitting on CD or DVD, your Video must be in a file format of AIV, MPEG 1, MPEG 2 or QuickTime. Include the following information on the disc surface: Your Full Name, File Format (AVI, MPEG 1, MPEG 2 or QuickTime), Phone Number and E-mail Address (if available). No other media or file format will be accepted. Requests for entry kits must be received by April 10, 2006, and all mail-in entries must be received by April 29, 2006 to be eligible. LIMIT ONE ENTRY PER PERSON . Entries generated by script, macro or other automated means are void. All entries become the property of Sponsor and will not be acknowledged or returned. Entries must be sent as one complete package/submission; no "mixed" entries (i.e. part online/part mail-in) will be accepted. IF YOU ARE ALREADY PROFILED ON THE "SHOW US YOUR CHARACTER" COMMUNITY SITE: You will NOT automatically be entered in this Contest. Should you wish to enter, you will need to resubmit your Video and create a Personal Statement following the above instructions. BY ENTERING THIS CONTEST, YOU WILL NOT BE AUTOMATICALLY ENTERED INTO THE SHOW US YOUR CHARACTER COMMUNITY (the "Community"), but we would love you to join. Go to www.showusyourcharacter.com to learn more. Please note, however, that Sponsor may elect, in its sole discretion to add you to the Community. If Sponsor elects to add you to the Community, you agree that your entry will be subject to the Terms of Submission and the Privacy Policy of the Community site at www.usanetwork.com/privacy TERMS OF SUBMISSION: By entering, you agree that you created the Video or, if you are not the person who created the Video, you have the permission of such person to enter your Submission in the Contest subject to the terms of these Official Rules. By entering, you also agree that you are 18 years of age or older as of March 20, 2006. If you submit an image of someone who is under 18 years of age, that person must be your child or you must be that child's parent or legal guardian. Your Submission must not contain any third-party music or other third-party content or other materials (such as writing, poetry, text, graphics, artwork or logos), or any inappropriate or offensive materials. Any Videos or Personal Statements containing material that is violent, pornographic or otherwise obscene, illegal, racially or morally offensive, as determined by Sponsor, in their sole discretion, may be rejected as ineligible for judging. Entries must comply with all laws, rules, and regulations including, but not limited to, those concerning copyright, plagiarism, trademark, defamation and invasion of privacy. By entering, you agree that: i) all Submissions become Sponsor's property and will not be returned, and (ii) entrant grants to Sponsor the right to alter and/or edit the materials. NBCU and NCM have the right to use any and all Submissions for future advertising, publicity in any medium now known or hereafter devised. If you send any Submission to us, you are at such time granting NBCU and its affiliates a worldwide, royalty-free, perpetual, unrestricted, irrevocable and fully sub licensable right and license to consider, disclose, broadcast, use, re-use, reproduce, modify, digitize or enhance, adapt, change, publish, translate, create derivative works from, distribute, re-distribute, publicly perform and/or display your Submission (in whole or in part), and the images or likenesses that appear in your Submission (in whole or in part) and/or incorporate all or part of your Submission in other works, all in any form, format, media or technology now known or later developed or invented. YOU WILL NOT BE PAID FOR YOUR SUBMISSION or for granting NBCU any of these rights. NBCU or its affiliates are in no way obligated to use your Submission (and have no obligation to you or any other person or entity after your Submission is received), and you will not be given any credit if your Submission is used. We may elect to post any, all, or none of your Submission on the site. Sponsor may, in their sole discretion, choose to post your Submission to the Show Us Your Character Community Website. If we do use it, we may remove all or any part of it at any time for any or no reason, and we may use all or any part of it in any way that we want. Additionally, while NBCU will seek to post the video in the form as provided at the time of entry, entrants agree that due to technical limitations, video may be altered from its original form. You agree to waive all claims to and shall receive no royalties of any kind now or in the future from NBCU for use of your Submission on the usanetwork.com website or otherwise, including copyright, trademark, public performance, digital sound recording, mechanical, synchronization or master use royalties, and that no other party is entitled to claim royalties from the use of the Submission as set forth in these Official Rules. Please also be aware that your Submission may not be acknowledged and will not be received or held "in confidence" and your Submission does not create a confidential relationship or obligation of secrecy between you and the Contest or NBCU or any of its affiliates. You may not resell, assign or transfer any of your rights under these Official Rules. LIMIT ONE ENTRY PER PERSON. Multiple entries received for any person will void all such additional entries. Entries that are incomplete, illegible, postage due or corrupted are void and will not be accepted. By entering your Submission, you acknowledge that you have read and understood these Official Rules, which incorporates the usanetwork.com Privacy Policy and usanetwork.com Terms of Service, and you accept these Official Rules together with all of the policies referenced herein and agree to abide by its terms and conditions, as they may be amended from time to time, and all applicable rules and regulations. Additionally, you agree that you are at least 18 years of age or older as of March 20, 2006 and you have the permission of anyone who appears in your Submission, including anyone who is mentioned in any accompanying description and your Submission and any accompanying caption, location or other description is your original work, was created by you and not copied from pre-existing materials, does not contain images or material (including music) of any person or entity not appearing in the Submission. Additionally, you agree that you have all rights, approvals and/or consents necessary to submit the Submission on the terms provided in these Official Rules and your Submission does not violate the rights of any other person or entity or any law. If you include any music in your Submission, you further guarantee to NBCU that the compositions, recordings, lyrics, text and other musical materials contained in the Submission are original, created only by you and do not contain any "samples" or excerpts that would infringe on the copyrights of others, is not merely a "cover" of someone else's song and that you have not granted to any third party or entered into any type of agreement including an exclusive recording agreement that would grant that third party any types of rights to your recorded performances. If you include artwork in your Submission, you further agree to NBCU that it is your original creation, created only by you and it does not contain any pre-existing elements that would infringe on the copyrights of others. 4. SELECTION OF FINALISTS: During the Initial Judging Period, from April 29, 2006 through May 5, 2006 each eligible Video and Personal Statement Submission will be reviewed by Fulfillment Systems Inc., an Official Judging Agency, and will be judged based on the following criteria: (a) Creativity and Originality (30%), (b) Relevance to Theme (30%) and (c) Clarity of Expression of Character (40%). The top 30 Submissions will be chosen as finalists by the Official Judging Agency. If selected as a finalist, your first name, city, state and entry title will be posted online. The Official Judging Agency reserves the right, in their sole discretion, to select fewer than 30, or no, Finalists, if an insufficient number of eligible, complete, tasteful, appropriate or generally qualified entries are received. In the event of a tie, tied finalists will be selected based on the highest score in the "Clarity of Expression of Character" criteria, which accounts for (40%) of the overall score. In the event there remains a tie, the tied Submission with the highest score in the "Creativity and Originality" criteria, which accounts for (30%) of the overall score will be selected. Those chosen as finalists will be notified on May 5, 2006 that their Video will be posted online for the second phase of the Contest, to begin on May 8, 2006. Each entrant agrees that if selected as a finalist, that Sponsors may, in their sole discretion, conduct a background check on entrant, including, but not limited to, civil, financial, driver-history, any drug or alcohol abuse, criminal convictions and law suits – either settled or still pending. Finalists agree to cooperate with Sponsor in order to conduct background check if requested. Sponsor reserves the right (at its sole discretion) to disqualify a finalist based on the background check results or a finalist's unwillingness to cooperate with the background check process, and select an alternate. 5. SELECTION OF WINNERS: There will be seventeen (17) contest winners: One (1) Grand Prize winner, One (1) Viewer's Choice Award winner, Five (5) First Prize winners and Ten (10) Second Prize winners. Commencing on or about May 8, 2006, a judging panel, consisting of NBCU Employees will review each of the Finalists' video entries, and score the entries according to the criteria used in the Initial Judging Period. Grand Prize, First Prize and Second Prize winners will be selected by solely on the results of the NBCU Employee judging, by combining the scores from all judges. The entry with the highest score will be awarded the Grand Prize. The entries with the second through sixth highest scores will be awarded First Prizes. The entries with the seventh highest through the sixteenth highest scores will be awarded a Second Prize. In the event of a tie, the winning entry will be selected based on the highest score in the "Clarity of Expression of Character" criteria, which accounts for (40%) of the overall score. In the event there remains a tie, the Submission with the highest score in the "Creativity and Originality" criteria, which accounts for (30%) of the overall score will be selected. Additionally, there will be a Viewer's Choice Award voting phase beginning at 12:01a.m. CST on May 8, 2006 and ending at 11:59 p.m. on May 19, 2006, where viewers can visit www.showusyourcharacter.com and vote for their favorite character from among the finalists. LIMIT OF ONE VOTE PER PERSON. The video clip that earns the most votes in the Viewer's Choice voting phase of the Contest will win the Viewer's Choice Award. In the event of a tie, the winning entry will be selected based on the highest score in the "Clarity of Expression of Character" criteria, which accounts for (40%) of the overall score during the initial judging process. In the event there remains a tie, the Submission with the highest score in the "Creativity and Originality" criteria, which accounts for (30%) of the overall score will be selected. Winner selection is conducted by Independent Judges, whose decisions are final and binding in all matters relating to the Contest. Judging for finalist selection will be conducted between April 28, 2006 and May 5, 2006. The Viewer's Choice phase of the Contest will take place between May 8, 2006 and May 19, 2006. Viewer's Choice Award winner will be announced at www.showusyourcharacter.com on or about May 29, 2006. Grand Prize, First Prize and Second Prize winners will be notified via phone or mail on or about May 22, 2006. 6. PRIZES/APPROXIMATE RETAIL VALUE "ARV" : One (1) Grand Prize – Grand Prize winner will receive the opportunity to appear in a 30-second promotional spot to be aired on USA Network, to appear throughout the summer of 2006, as well as a featured role in an online documentary series covering a "day in the life" view of the Grand Prize winner ("webisode series"). The nature and content, timing and all details of the on-air spot and the webisode series will be determined in the sole discretion of USA Network. Additionally, the Grand Prize winner will also have the opportunity for their image or likeness to appear in NCM's theatrical pre-feature entertainment show ("NCM FirstLook"). The winner's appearance in the NCM FirstLook will be during the 2006 calendar year during one media flight. NCM shall have sole discretion of final creative editing and placement of winner's image or likeness in the NCM FirstLook. Should the winner choose to forfeit the NCM FirstLook opportunity, no alternative prizing will be provided. The NCM FirstLook appearance prize has no cash value. No payment or compensation will be awarded for such performances. The creation of the on-air spot, webisode and NCM FirstLook appearance will not be considered an employment opportunity, and winner's appearance in any such series is subject to all applicable collective bargaining agreements and exhibition regulations and standards or other industry requirements. The on-air spot and webisode will be shot simultaneously immediately following winner notification. Winner must be available for travel (if necessary, depending on winner's location) and on-site production from May 24, 2006 through June 9, 2006. Dates of travel and shoot to be determined once winner is selected, but winner must be flexible and available during this period. If Grand Prize winner does not make himself/herself available as directed by NBCU or is otherwise not eligible in light of a background check or otherwise, NBCU and NCM reserve the right to select an alternate Grand Prize winner and change the timing of the release of the 30-second spot, the webisode series and the NCM FirstLook appearance. No Approximate Retail Value is assigned. The Grand Prize winner will also receive a MAC G5 Quadcore ® Desktop with a 30" HD screen and a Sony ® HVR professional HD camcorder. (Approximate Retail Value of Grand Prize is $6,000.00). Five (5) First Prizes – A Sony ® DCR DVD Camcorder (Approximate Retail Value each First Prize is $599.00). Ten (10) Second Prizes – A video iPod ® (Approximate Retail Value of each Second Prize is $300.00). One (1) Viewer's Choice Award - The entrant who receives the most viewers' votes in the public voting segment of the contest will win $1,000.00 cash. Approximate Retail Value of all prizes is $12,995.00. All federal, state and local taxes and other expenses in connection with the prizes not expressly described herein as being awarded are the sole responsibility of the winner. Prizes are not transferable. Prize substitutions will not be allowed, except at sole discretion of the Sponsor, or if prize becomes unavailable, in which case Sponsor reserves the right to substitute prize with one of equal or greater value. Delivery of prizes is subject to manufacturer/distributor/dealer manufacturing, production and delivery schedules. The manufacturer's limited warranty shall apply to the prizes awarded and no other warranty, representation or guarantee is provided to winner in suspect to the prize. All prize details not specified herein are at the sole discretion of the sponsor. Limit one prize per household. Winners will be notified by mail or phone and must return all required documents within the indicated time period. Grand Prize Winner and Viewer's Choice Award Winner will be required to execute an Affidavit of Eligibility and Publicity/Liability Release, to be returned within ten (10) days of date notice sent. In the event of noncompliance with the foregoing requirements or if prize or prize notification is returned as undeliverable, prize will be forfeited and, at Sponsor's discretion, an alternate winner will be selected. In the event that insufficient qualified entries are received, Sponsor reserves the right, in its sole discretion, to not award all prizes. Names of manufacturers are used for purposes of prize description only and such use is not intended to suggest or imply the manufacturers' sponsorship, endorsement, or the approval of Apple or Sony for this Sweepstakes. Apple is not a participant or sponsor of this promotion. 7. GENERAL RULES: NBCU, NCM, Alloy Marketing and Media and Fulfillment Systems, Inc. (collectively, "Released Parties") are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, damaged, incomplete, incorrect, misrouted, undelivered, garbled, illegible or postage-due mail, entries or email; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines or technical failures or difficulties, or other errors of any kind whether human, mechanical, electronic, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors which may occur in connection with the administration of the Contest, the processing of entries, the announcement of the prizes or in any Contest-related materials; or the incorrect or inaccurate capture of entry or other such information or the failure to capture any such information. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released parties are not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in the Contest or downloading materials from or use of the web site. Persons who tamper with or abuse any aspect of the Contest or website, as solely determined by Sponsor, will be disqualified. CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW (AND TO DISQUALIFY SUCH PERSON FROM THE CONTEST, IF APPLICABLE). Should any portion of the Contest be, in Sponsor's sole discretion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole discretion of the Sponsor, corrupt or impair the administration security, fairness or proper play, or submission of entries, Sponsor reserves the right at their sole discretion to cancel, terminate, modify or suspend the online portion of the Contest and cease to make the entry form available on www.showusyourcharacter.com and accept entries solely via mail-in entry method, or to cancel, terminate, modify or suspend the Contest in any manner, in Sponsor's sole discretion, and conduct judging from amongst all eligible, non-suspect entries received prior to action taken. Notice of such action by Sponsor will be posted on www.showusyourcharacter.com. Entrants, by participating, agree that Released Parties and their respective parents, affiliates, subsidiaries, dealerships, advertising and promotion agencies, and website providers/web masters, and all of their respective officers, directors, employees, representatives and agents will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind, including death, to persons or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of a prize or participation in this Contest. Each winner, by acceptance of prize, except where legally prohibited, grants permission from Sponsor and their designees to use his/her name, address (city and state), photograph, voice, and/or other likeness and prize information for advertising, trade and promotional purposes without further compensation, in all media now known or hereafter discovered, worldwide, and on the Internet and world wide web, in perpetuity, without notice or review or approval. In the event of a dispute regarding entries received from multiple users having used the same e-mail account, the authorized subscriber of the e-mail account at the time of entry will be deemed to be the entrant and must comply with these rules. Authorized account subscriber is the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), on-line service provider or other organization responsible for assigning e-mail addresses. 8. CONDITIONS : These Official Rules and this Contest are not a contract or application for employment. By entering a Video and Personal Statement ("Submission"), entrants release and agree to hold harmless NBCU, NCM, Fulfillment Systems, Inc., Alloy Marketing and Media, their promotional and advertising agencies, as well as the officers, directors, employees, representatives and agents of any of the foregoing entities, for any damage, loss or liability to person or property, due in whole or part, directly or indirectly, by reason of an entrant's entry submittal and/or its contents or by reason of the acceptance, possession, use or misuse of prize or participation in the Contest. These Official Rules are governed by the State of New York without regard to choice of law rules. Any controversy or claim relating to your Submission and/or these Official Rules shall be submitted to arbitration before the American Arbitration Association in New York County, New York under its Commercial Arbitration Rules. Judgment upon the award rendered by the arbitrator may be entered in any court of competent jurisdiction. If any portion of these Official Rules is found to be invalid, illegal or unenforceable, for any reason, that portion shall be severed from the rest and shall not affect the agreement to resolve all controversies and claims through arbitration. Claims and causes of action arising out of or connected with this Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration. Claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorney's fees. These Official Rules supercede any and all agreements or communications of any kind between you and the Contest or anyone associated with the Contest, and cannot be modified or waived except in writing and unless properly signed. All claims of infringement must be submitted to NBCU in a written complaint that complies with the usanetwork.com Infringement Policy, found on www.usanetwork.com. 9.
